ELECTION OF OFFICERS
Annual General Meeting

In accordance with the Memorandum and Articles of Association of the Liverpool Cricket Club Ltd the Directors of the Company require nominations for the following vacancies, due to the choice of non-re-election of current directors:
• Club Chair
• Finance Director
• Club Director without specific responsibility
The Directors are also seeking nominations for:
Two members for the management Committee to act as
• Chair of Sports and Grounds Committee
• Chair of House and Social Committee
While these can at times be demanding roles, they are always rewarding. This is an exciting time for the Club as we look to build on our sound foundations. As always there are challenges and opportunities on the horizon, and this is a great opportunity to come and join a group of like-minded people and help shape the direction of our club.
Why are there so many roles up for election?
All of the current director roles have reached the end of their terms of office, and do not wish to seek re-election.
In addition we have been looking at the effectiveness of our governance. This has seen the emergence of two key principles, sharing the workload and greater involvement of the club membership. Having 2 new management committee members directly appointed at an AGM will help achieve both these aims.
What are the legal responsibilities of a director and are directors personally liable for Club finances?
The club is a company limited by guarantee. This means that directors are not personally liable for any debts incurred by the club.
There are legal duties to promote the success of the company, exercise care, skill, diligence and independent judgement. In essence the role involves providing guidance, advice, leadership and direction for the management committee and the club as a whole. There is also an important role to play in building and developing relationships with partners and stakeholders. Additionally the club Chair will be responsible for chairing management committee meetings and the AGM. The club Chair will also provide management and direction of the club workforce through the senior staff. The finance director will be responsible for ensuring accurate accounts are maintained and submitted, and for maintaining financial oversight that enables effective spending decisions to be made.

What are the committee chair roles?
Committees focussed on House & Social and Grounds & Sports are not uncommon in clubs like ours. Indeed we have had committees like these previously. Having these committees should help share the workload and provide an opportunity for member involvement. The house/social committee will look at the bar, events hospitality and functions as well as maintenance and upkeep of the associated facilities. The ground/sports committee will look at all sport at the club, maintenance and upkeep of the sports facilities and coordination of fixtures and use of the sports facilities. The chairs will identify and appoint club members to sit on these committees and provide leadership and direction, ensuring alignment with broader club activity.
Having seen what previous role holders have done, I am interested in how much time and effort I will need to commit. What is the expectation?
The management committee meets every month. There also meetings of committees and sub committees that you may sit on. Additionally you will be able to get involved as much as you would like depending on your skills and interests. As we look to make sure that workload is shared, we have identified the need for extra people on the management committee and being clear about our roles and responsibilities. We are also looking to strengthen the capability and capacity of the club staff. We believe that this will make being a director or member of the committee a realistic and achievable prospect.
